30 November Director Deadline

Australian company directors have a deadline of Wednesday 30th of November 2022 to obtain their Director Identification Number (Director ID).

WHAT IS A DIRECTOR ID?

It is a 15-digit number that is allocated to the director of a company. The director is only required to apply for it once, as it doesn’t expire and can be kept forever. Even if the director changes companies, resigns as director, moves overseas, or changes their name, the number is still attached to that director.

WHO REQUIRES A DIRECTOR ID?

Those who are company directors registered with an Australian body, Aboriginal and Torres Strait Islander corporation (ATSI), or a registered foreign company require a Director ID. Directors of a corporate trustee of a self-managed super fund (SMSF) are also included in this requirement. Those individuals that are in the process of becoming directors (for example, they have been invited to become a director) will need to ensure that they apply for one before they are appointed.

WHO DOES THE DEADLINE APPLY TO?

The deadline for individuals who have been a director since the 31st of October 2021 is the 30th of November 2022. However, if the individual is a director of an Aboriginal and Torres Strait Islander corporation the deadline is on the 30th of November 2023.

REQUIREMENTS FOR OVERSEAS DIRECTORS

Individuals who are applying for a Director ID while they are overseas need to be aware that applications are not available online, and can only be made using the paper application form. Please note that as well as the application form, there are two forms of identification required (one primary document and one secondary document). These identification documents will need to be certified either at an Australian embassy or by a public notary.

WHO IS EXEMPT FROM REQUIRING A DIRECTOR ID?

Individuals who are operating a business as a partnership or sole trader do not require a Director ID. Alternatively, if your job title is Director, but under the Corporations Act or Corporations Aboriginal and Torres Strait Islander Act (CATSI) you have not yet been appointed as a director you do not require a Director ID.

IS THERE A PENALTY FOR NOT OBTAINING A DIRECTOR ID?

Yes, if an individual is required to apply for a Director ID but fails to do so, they could possibly be charged a criminal penalty of up to $13,200 or a civil penalty of up to $1,100,000. If an individual has intentionally submitted multiple ID applications or falsely represented the director ID, they could be charged a criminal penalty of $26,640 and potentially one year in prison.
